1. Acceptance of Terms

Welcome to Anabasis Intelligence LLC ("Anabasis," "we," "us," or "our"). By accessing or using anabasisintelligence.com (the "Site") and our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Site or services.

These Terms apply to all users of the Site, including visitors, users of our free AI risk assessment tool, and customers of our paid consulting and implementation services.

2. Description of Services

2.1 Free AI Risk Assessment

Anabasis provides a free AI risk assessment tool that:

• Allows you to answer questions via text or voice
• Generates a personalized risk report analyzing your business's AI readiness
• Identifies potential competitive threats and recommendations
• Is available at no cost with no hidden fees

2.2 Paid Services

We also offer paid services including but not limited to:

• AI strategy consulting
• Web and mobile development
• AI implementation projects
• Ongoing managed AI services

Paid services are provided under separate agreements and are not automatically included by using this Site. No contract for paid services is created simply by using the Site or completing the free assessment.

2.3 Incomplete Assessments

If you do not complete the assessment in one session:

• Your progress is temporarily stored in your browser's local storage
• You can return to complete the assessment later
• We do not store incomplete assessments on our servers until you complete and submit them

3. User Responsibilities

3.1 Eligibility

There are no specific restrictions on who may use our Site. However, by using the Site, you represent that:

• You have the legal capacity to enter into these Terms
• You will provide accurate and truthful information
• You will comply with all applicable laws

3.2 Account Security

If you create an account for paid services:

• You are responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized access

3.3 Prohibited Uses

You agree not to:

• Use the Site for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Site's functionality
• Use automated tools to access the Site without permission (scraping, bots, etc.)
• Reverse engineer or attempt to extract our proprietary assessment methodology
• Misrepresent your identity or affiliation with any person or entity
• Upload viruses, malware, or other harmful code

4. Intellectual Property

4.1 Anabasis Property

The Site and its content, including but not limited to:

• Assessment methodology and algorithms
• Software, code, and technology
• Text, graphics, logos, and design elements
• The "Anabasis Intelligence" name and branding

...are owned by Anabasis Intelligence LLC and are protected by copyright, trademark, and other intellectual property laws.

4.2 Your Assessment Results

Ownership: Anabasis Intelligence LLC retains ownership of all assessment results, reports, and analyses generated through our services.

Your Rights: You are granted a non-exclusive, non-transferable license to use your specific assessment results for your internal business purposes.

Sharing: You may share your assessment results with others (employees, advisors, partners, etc.) as needed for your business operations.

Restrictions: You may not:

• Resell or commercialize the assessment results
• Use the methodology to create a competing service
• Claim ownership of the underlying assessment system

4.3 Feedback

If you provide feedback, suggestions, or ideas about our services, you grant us an unlimited, perpetual, royalty-free right to use such feedback without compensation or attribution.

5. Disclaimers and Limitations of Liability

5.1 No Guarantees

AI-GENERATED CONTENT: Our assessments and recommendations are generated using artificial intelligence (Claude by Anthropic). While we strive for accuracy:

• AI systems can make mistakes, provide incomplete information, or generate inaccurate analysis
• Results should not be considered a substitute for professional business advice
• We do not guarantee specific business outcomes from implementing our recommendations

AS-IS SERVICE: The Site and services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

5.2 System Malfunctions

TECHNICAL ISSUES: Technology systems can fail. If our Site malfunctions during your assessment:

• We will make reasonable efforts to restore service
• We are not liable for any damages resulting from service interruptions
• You may need to restart your assessment

We do not guarantee uninterrupted or error-free service.

5.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Anabasis Intelligence LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits or revenue
• Loss of business opportunities
• Loss of data
• Business interruption
• Any other commercial damages or losses

This limitation applies regardless of the legal theory (contract, tort, negligence, etc.) and even if we have been advised of the possibility of such damages.

MAXIMUM LIABILITY: In no event shall our total liability to you for all claims exceed the amount you paid us in the 12 months prior to the claim, or $100, whichever is greater.

5.4 Third-Party Services

We use third-party services (Stripe for payments, ElevenLabs for voice processing, etc.). We are not responsible for:

• The availability or functionality of third-party services
• Privacy practices of third-party services (see their respective privacy policies)
• Any damages resulting from third-party service failures

6. Indemnification

You agree to indemnify, defend, and hold harmless Anabasis Intelligence LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Site or services
• Your violation of these Terms
• Your violation of any rights of another party
• Any content or information you provide through the Site

7. Payment Terms (For Paid Services)

7.1 Pricing

Pricing for paid services will be communicated separately and agreed upon before services begin. Prices are subject to change with notice.

7.2 Payment Processing

• Payments are processed through Stripe
• You agree to provide accurate and complete payment information
• You authorize us to charge your payment method for agreed-upon services

7.3 Refunds

Refund policies for paid services will be outlined in your service agreement. Generally:

• Strategy consulting fees are non-refundable once work has begun
• Project-based work may have milestone-based refund policies
• Monthly retainer services may be canceled with 30 days notice

7.4 Late Payments

For paid services:

• Invoices are due upon receipt unless otherwise agreed
• Late payments may incur interest charges of 1.5% per month (or maximum allowed by law)
• We reserve the right to suspend services for non-payment

8. Termination

8.1 Your Right to Terminate

You may stop using the Site at any time. For paid services, termination terms will be outlined in your service agreement.

8.2 Our Right to Terminate

We reserve the right to:

• Suspend or terminate your access to the Site at any time, with or without cause
• Refuse service to anyone for any reason
• Remove or disable content that violates these Terms

8.3 Effect of Termination

Upon termination:

• Your right to use the Site immediately ceases
• Provisions that by their nature should survive (indemnification, limitations of liability, dispute resolution) will remain in effect
• We may retain your data as outlined in our Privacy Policy

9. Dispute Resolution

9.1 Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

9.2 Jurisdiction and Venue

NO MANDATORY ARBITRATION: We do not require arbitration for disputes arising from use of the Site or these Terms.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming. You consent to the personal jurisdiction of such courts.

9.3 Informal Resolution

Before filing any legal action, we encourage you to contact us at legal@anabasisintelligence.com to seek informal resolution of the dispute.

9.4 Waiver of Class Actions

To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

9.5 Time Limitation

Any claim arising from use of the Site or services must be filed within one (1) year after the claim arose, or it is permanently barred.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes become effective immediately upon posting to the Site.

Your continued use of the Site after changes are posted constitutes acceptance of the modified Terms.

We will not notify you of changes, so please review these Terms periodically.

11. General Provisions

11.1 Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Anabasis regarding use of the Site and services.

11.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

11.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

11.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, or government actions.

11.6 Relationship

No agency, partnership, joint venture, or employment relationship is created between you and Anabasis by these Terms or use of the Site.
